Terms and Conditions: The performer(s) and the music rights holders understand and agree that, subject to the terms of this agreement, any audiovisual content derived from this Portside Live production shall be the sole property of the Portside Live production team (Portside Live) created for the expressed purpose of producing and promoting an installment of the Portside Live concert series. At no time shall Portside Live distribute the audio portion of the content independently of the visual portion without the prior written approval of the performer(s) or music rights holder. The performer(s) and the music rights holders hereby provide to Portside Live a non-exclusive limited and perpetual permission, right, consent, and royalty-free license worldwide to host, publicly broadcast, stream, monetize, promote, and synchronize their music to the visual work as outlined within this agreement, and agree to dispute any and all conflicting ownership or third party claim of the tracks uploaded to Portside Live’s youtube channel as part of a Portside Live audiovisual production. The parties to this agreement agree to, at all times, act in good faith to assist in the carrying out of all terms set forth in this agreement. The provider of this release warrants and guarantees, through execution of this permission agreement, that they are legally authorized to enter this agreement; that the aforementioned content does not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights that may impact this permission agreement, and; that they shall indemnify and forever save harmless Portside Live and all those involved in the production over any and all instances of conflicting ownership of any material found to be infringing on any and all parties’ rights. The performer(s) further understand and agree that they assume all risk of personal injury, death or loss incurred in connection with this production, whether to themselves or any accompanying persons. Portside Live and all those involved in the production, the property lessees, and the property lessor shall not be liable for any such injury, death or loss, and the performer(s) hereby agree to release, forever discharge, indemnify and save harmless Portside Live and all those involved in the production, the property lessees, and the property lessor from all liability, claims, demands, damages, costs, expenses and causes of action arising from any injury, death, or loss to themselves or any accompanying persons.
